Paramount has reached a settlement agreement with 12 state attorneys general, resolving a major antitrust lawsuit that previously blocked its proposed acquisition of Warner Bros. Discovery. The agreement removes a critical legal obstacle facing the landmark $111 billion USD entertainment merger.
The agreement arrived directly before an October 1 deadline that would have subjected Paramount to a $7 million USD daily “ticking fee” ahead of a trial originally set for March 2, 2027. Led by California Attorney General Rob Bonta, the 12-state coalition initially sought to halt the merger over competition concerns within the basic cable and theatrical exhibition markets.
While full terms remain undisclosed, sources indicate the settlement does not require Paramount to make any major asset divestitures. Negotiations instead focused on guarantees regarding California production levels, state corporate presence, and editorial oversight for CBS News and CNN. The Writers Guild of America, which filed a separate suit to block the acquisition, is also expected to sign on to the resolution as Paramount positions the combined entity to compete directly against streaming platforms like Netflix and Amazon.
